一、注冊(cè)美國公司流程I.Process
1、核名

• 在給美國公司起名時(shí)，我需要注意什么?

• 在美國注冊(cè)公司時(shí)對(duì)公司的名稱沒有任何限制。您可以在公司名稱后面冠以CORP(CORPORATION),
LTD(LIMITED),INC(INCORPORATED)或CO(COMPANY)，CO.,LTD,等字樣;為了避免重復(fù)，申請(qǐng)人最好提交3個(gè)以上的英文公司名稱，通過查冊(cè)后，公司名稱可以是集團(tuán)、公司、大學(xué)、學(xué)院、研究院、協(xié)會(huì)、商店、工廠等等任何名稱。您可以在公司名稱后面冠以“協(xié)會(huì)Association”，“公司company”，“社團(tuán)/有限公司corporation”，“基金會(huì)Foundation”，“基金Found”，“組織Incorporated”，“學(xué)會(huì)/學(xué)院Institute”，“公會(huì)Society”，“聯(lián)邦/聯(lián)盟Union”，“企業(yè)聯(lián)合/財(cái)團(tuán)Syndicate”，“有限公司Limited”或其縮寫，名稱不可和已注冊(cè)公司或預(yù)留名稱相同或相近。
•When registered company in the US with no restrictions on the name of the company. after
the name of the company you can suffix with CORP (CORPORATION), LTD (LIMITED), INC
(INCORPORATED) or CO (COMPANY), CO, LTD, and so forth; in order to avoid duplication,
the applicant should better submit three or more English names of the company,after the
search,the name of the company can be group,company,university,college,research institute,association,shop,factory and so on should be any name. after the name of the company you can suffix with "Association","company","Community/Corporation",
"Foundation","Found","Incorporated","Institute", "Society ","Union ","Syndicate", "Limited"
or its abbreviation, the name of the company should not the same or similar with the
registered company or reserved name.
• 或者，可以有限責(zé)任公司只能以LimitedLiabilityCompany，簡稱“LLC”結(jié)尾。
·Alternatively, you can only with Limited Liability Company, referred to "LLC" at the end.

二、注冊(cè)美國公司需要準(zhǔn)備材料

• 1、 股東、 董事身份身份證復(fù)印件
·1. Shareholders, directors identity card photocopy;
• 2、 如需要開戶，需要地址證明

*美國公司提交15個(gè)工作日后， 辦理商標(biāo)和條形碼

*商標(biāo)受理時(shí)間7個(gè)工作日 ， 9-12個(gè)月下證書
* Trademark Office time is 7 working days, 9-12 months give the certificate
*條形碼7個(gè)工作日
* Barcode 7 working days
即遞交公司文件后一個(gè)月內(nèi)， 公司已經(jīng)審批商標(biāo)和稅號(hào)條形碼都已經(jīng)辦理完成。
如加急公司7-10個(gè)工作日 ， 稅號(hào)， 商標(biāo)， 條形碼都可以完成，但4項(xiàng)加州加急費(fèi)用是800美金， 紐約是400美金。

四、注冊(cè)美國公司填表注意事項(xiàng)

• 1、 擬定注冊(cè)美國公司名稱， 核名如無重復(fù)則可使用;
• 1. Registered the Name of the Company check the name if no repetition can be used;
• 2、 美國公司的經(jīng)營范圍;
• 2. The scope of business of the US company;
• 備注： 經(jīng)營范圍： 在美國注冊(cè)的公司對(duì)公司的經(jīng)營行業(yè)及經(jīng)營項(xiàng)目并沒有太多的限制。 因此， 您所注冊(cè)的美國公司可以經(jīng)營任何合法的商務(wù)業(yè)務(wù)。 但由于一般公司的經(jīng)營范圍只有一行字的限制(大約為40個(gè)英文字符) ， 故請(qǐng)寫最重要的經(jīng)營范圍。
Note: Business scope: Companies registered in the US and not too many restrictions in the
operations industry and business projects of the company,. Therefore, the company you have
registered in the US can run any legal business operations. However, due to the business
scope of general company only limit one line of the word (about 40 English characters),
so please write the most important business scope.
• 3、 提供董事、 股東名稱， 護(hù)照或身份證復(fù)印件， 聯(lián)系電話/傳真;
• 3. Provide the name of director, shareholders, passport or ID card, copy telephone or fax;
• 4、 提供至少一位董事、 一位股東分配比例;
• 4. Provide distribution ratio at least one director, one shareholder;

五、公司注冊(cè)完成后， 交付客戶有以下文件

六、美國公司注冊(cè)申請(qǐng)稅號(hào)
V. Registration tax number of US company
• 美國聯(lián)邦稅號(hào),也叫雇主識(shí)別號(hào)
•US Federal Tax ID, also called employer identification number
• 英文EMPLOYER IDENTIFICATION NUMBER。
•English EMPLOYER IDENTIFICATION NUMBER
• 需要有美國SSN的人， 向美國國稅局( IRS) 遞交SS-4表格， 進(jìn)行申請(qǐng)。
•People who have SSN, submit SS-4 Form to the US Internal Revenue Service (IRS) to filed
Form SS-4, to apply
• EIN由聯(lián)邦國稅局分配給美國公司專用的。
•EIN assigned by the federal Internal Revenue Service to US companies for dedicated use
• 此報(bào)稅號(hào)碼是用來辨認(rèn)美國公司也是今后公司成立， 開設(shè)銀行公司賬戶和報(bào)稅所要提供的材料之一，辦理時(shí)間在7個(gè)工作日左右
•This tax number is used to identify US companies, but also the company founded, open bank
accounts and tax returns in the future, it is one of the materials to be provided, the

七、注冊(cè)美國公司申請(qǐng)銀行賬戶

• 辦理時(shí)間在一個(gè)月左右
•Processing time is about a month
• 備注： 因?yàn)樽?cè)公司、 申請(qǐng)稅號(hào)業(yè)務(wù)都是由我公司代理的， 所以只需要提供美國公司董事的護(hù)照和住址證明就可以了
